Terms of Service

1. Acceptance of Terms

By downloading, accessing, or using the Skill Up mobile application (the "App"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the App.

Skill Up Technologies Inc. ("Skill Up," "we," "us," or "our") reserves the right to modify these Terms at any time. Your continued use of the App after any such changes constitutes your acceptance of the new Terms.

2. Description of Service

Skill Up provides an AI-powered soft skills training platform that offers practice scenarios, feedback, and tools to improve professional skills including communication, negotiation, persuasion, and other soft skills ("Service"). Features may vary based on your subscription plan.

We reserve the right to modify, suspend, or discontinue the Service at any time without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

3. User Accounts

To use certain features of the App, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account and password and for restricting access to your device. You accept responsibility for all activities that occur under your account.

4. Subscription and Billing

The App offers free and paid subscription options. By selecting a paid subscription, you agree to pay the subscription fees indicated for your selected plan. Subscription fees are billed through your respective app store account (Apple App Store or Google Play Store).

Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period.

You can manage and cancel your subscription through your app store account settings. Refunds are subject to the policies of the respective app store.

5. User Content

You retain ownership of any content you submit, post, or display on or through the App ("User Content"). By submitting User Content, you grant Skill Up a worldwide, non-exclusive, royalty-free license to use, copy, modify, and display the User Content in connection with the operation of the Service.

You are solely responsible for your User Content and the consequences of posting or publishing it. We reserve the right to remove any User Content for any reason without notice.

6. Prohibited Uses

You agree not to use the App to:

• Violate any applicable laws or regulations
• Infringe the rights of others
• Interfere with or disrupt the Service
• Attempt to gain unauthorized access to the Service
• Transmit viruses or other harmful code
• Collect or store personal data about other users

7. Intellectual Property

The App and its original content, features, and functionality are owned by Skill Up and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Skill Up.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND. SKILLUP EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

SKILLUP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THE APP, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
